1. These terms
These terms are an agreement between you and Chatbucks Technologies Limited ("Chatbucks", "we", "us"), the company that runs the Chatbucks platform: Chatbucks AI agents, Chatbucks Invoice, the Chatbucks Marketplace, Chatbucks delivery and the Chatbucks Rider app. By creating an account or using any part of the platform you accept them. If you use the platform for an organisation, you confirm you may bind it, and "you" includes that organisation.
Our Privacy Policy explains how we handle personal data and forms part of these terms.
2. Who can use the platform
- You must be at least 18 years old.
- Business accounts must be run by a person entitled to act for the business.
- Riders must hold the licences and permissions Nigerian law requires for the vehicle they deliver with.
- You must not be barred from using the platform by us or by law.
3. Your account and verification
Keep your sign-in details secret and tell us at once if you think someone else has used your account. You are responsible for what happens under it. Before you can send invoices, receive payments, be paid out or deliver, we must verify your identity (and your business's, where there is one) as the law requires. We may refuse, pause or withdraw verification, and we may ask for more information at any time. The information you give us must be true and kept up to date.
4. What the platform provides
We provide the tools; you run your business with them. We do not sell your goods, provide your services or act for you in your dealings with your customers. We work to keep the platform available and accurate, but we do not promise it will be uninterrupted or error-free, and we may change, add or withdraw features with reasonable notice where the change affects you materially.
5. AI agents on your channels
A Chatbucks AI agent answers your customers using the content you give it, on your website, your WhatsApp Business number and your Instagram account when you connect them. You are responsible for:
- the accuracy of the content the agent is trained on and the instructions you give it;
- checking the agent's replies, offers, prices and commitments as you would a staff member's; the agent can make mistakes;
- complying with Meta's WhatsApp Business and Instagram terms and policies for the channels you connect, including customer opt-in and messaging rules;
- telling your customers that they may be talking to an automated agent where the law or a platform requires it.
Connecting a channel authorises us to receive and send messages on your behalf through that channel until you disconnect it. We may suspend a channel that Meta restricts or that is used in breach of these terms.
6. Invoices, payments and your wallet
Chatbucks Invoice lets you issue invoices and receipts, take payments by bank transfer and card through licensed payment providers, and hold your collections in a Chatbucks wallet until they are paid out to your bank account. The wallet is a record of money held for you by our payment partners; it is not a bank account and does not earn interest. We may hold, reverse or refund a payment to comply with the law, a payment provider's rules, a chargeback or a dispute, and we will tell you when we do. You are responsible for the goods and services you invoice for, for refunds you owe your customers, and for your own taxes, including VAT where it applies.
7. The Marketplace
The Chatbucks Marketplace shows listings from businesses on the platform to customers nearby. We review businesses and listings before they go live and may hide or remove any listing. Each sale is a contract between the business and the customer; we are not a party to it. On marketplace orders we charge the business a commission at the rate shown in the dashboard when the order is placed. Listings must be accurate, lawful and yours to sell, and must not include goods or services we or the law prohibit.
8. Delivery and riders
When a customer chooses delivery by a Chatbucks rider, the delivery charge is Chatbucks's own charge, shown separately from the business's invoice and paid in the same payment or at the door. Riders and fleets who deliver through the Chatbucks Rider app agree to the rider terms shown in the app, including identity verification, live location sharing while online, delivery codes, and the handling of cash collected on delivery. A rider is an independent contractor, not our employee. If a delivery fails or is disputed, the delivery charge is refunded or settled according to the dispute rules published in the dashboard.
9. Fees
Our fees (platform fees, payment and payout fees, marketplace commission and delivery charges) are shown in the dashboard and on each invoice, order or quote before you commit to it. They may be deducted from your collections before payout. We may change fees with at least 14 days' notice in the dashboard or by email; continuing to use the platform after that is acceptance of the new fees.
10. Acceptable use
You must not use the platform to:
- break the law, or sell or promote anything unlawful, counterfeit, dangerous or fraudulent;
- send spam or messages customers have not agreed to receive;
- collect payments for goods or services you do not provide, or launder money;
- mislead customers about who they are dealing with or what they are buying;
- interfere with the platform, probe it for weaknesses, scrape it, or resell access to it;
- upload content that infringes someone else's rights or contains malware.
11. Content and intellectual property
You keep ownership of the content you upload (your website text, documents, price lists, listings and messages). You give us a licence to store, process and display it as needed to provide the platform, including to generate your agent's replies. The platform itself, its software, design and trade marks belong to Chatbucks Technologies Limited and its licensors; you may not copy or reuse them except as these terms allow.
12. Suspension and closing your account
You can close your account at any time from the dashboard or by emailing us. We may suspend or close an account that breaks these terms, puts customers, riders or the platform at risk, or that a regulator or payment provider requires us to act on, and we will tell you why unless the law prevents it. After closure we pay out any balance due to you once pending payments, refunds and disputes are settled, and we keep only the records the law requires (see our Privacy Policy and data deletion page).
13. Liability
To the extent Nigerian law allows: we are not liable for loss of profit, business or goodwill, or for indirect or consequential loss; our total liability to you for any claim in a year is limited to the fees you paid us in the twelve months before the claim; and we are not liable for the acts of businesses, customers, riders, payment providers or Meta, or for events outside our reasonable control. Nothing in these terms limits liability for fraud, death or personal injury caused by negligence, or anything else that cannot be limited by law. You agree to compensate us for claims arising from your breach of these terms or your use of the platform in breach of the law.
14. Governing law and disputes
These terms are governed by the laws of the Federal Republic of Nigeria. If you have a complaint, contact us first and we will try to resolve it within 30 days. Any dispute that cannot be resolved that way may be referred to mediation and, failing that, to the courts in Lagos State, Nigeria, which have exclusive jurisdiction.
15. Changes and contact
We may update these terms; the date at the top shows the latest version. We will give business users reasonable notice of material changes by email or in the dashboard. Questions about these terms go to the address below.
